OpenAI Completes Internal Reorganization. The Goal Is Clear: Benefit Humanity!

OpenAI has just completed a recapitalization that simplified its corporate structure. The nonprofit organization remains in control of the for-profit arm and now has direct access to significant resources even before the arrival of artificial general intelligence (AGI). This change followed nearly a year of discussions with the attorneys general’s offices in California and Delaware, resulting in several adjustments that benefit the public.

The nonprofit arm, now called the OpenAI Foundation, holds equity in the for-profit company worth approximately $130 billion, or roughly CZK 3 trillion. This makes it one of the best-funded philanthropic organizations in history. It will also receive additional ownership once the for-profit reaches a certain valuation.

OpenAI’s Mission: Benefiting Everyone

OpenAI was founded in 2015 as a nonprofit organization with a mission to ensure that artificial general intelligence benefits all of humanity. Today, it remains a nonprofit entity dedicated to that same mission. The for-profit arm, established in 2019, is now a public benefit corporation called OpenAI Group PBC, which shares the same mission as the OpenAI Foundation. This structure keeps the mission at the center and ensures that commercial success supports philanthropic goals.

The more successful OpenAI becomes as a company, the more the value of the nonprofit arm’s equity will increase, which the OpenAI Foundation will use to fund its philanthropic work. This recapitalization maintains the strongest mission-focused governance representation across the industry.

OpenAI Foundation’s Focus

The OpenAI Foundation will initially focus on a $25 billion commitment, equivalent to about CZK 575 billion, divided into two areas. The first is health and curing diseases—the fund will support work to accelerate health discoveries so that everyone can benefit from faster diagnoses, better treatments, and medicines. It will begin with activities such as creating open health datasets and funding scientists.

The second area is technical solutions for AI resilience. Just as the internet needed a cybersecurity ecosystem to protect power plants, hospitals, banks, governments, businesses, and individuals, we now need a similar layer for AI. The OpenAI Foundation will dedicate resources to practical technical solutions that maximize the benefits of AI and minimize its risks.

This builds on the $50 million People-First AI Fund and the recommendations of the Nonprofit Commission. The OpenAI Foundation and OpenAI Group will work together to address the difficult challenges and opportunities associated with advances in AI, including building safe systems, accelerating scientific discoveries, and strengthening global collaboration.

Future Plans

The OpenAI Foundation and OpenAI Group will work together on solutions such as making intelligence accessible to everyone, building safe and aligned systems, accelerating scientific discoveries, and strengthening global collaboration. This recapitalization gives OpenAI the ability to push the boundaries of AI and provides an updated structure that ensures progress serves everyone.

Bret Taylor, chair of the OpenAI board, emphasizes that the world’s most powerful technology must be developed in a way that reflects the world’s collective interests. This change makes it possible to continue pushing the boundaries of AI with an emphasis on benefiting everyone.
